RULES, REGULATIONS AND BYE-LAWS
Made pursuant to Article 58 of the Articles of Association
of The Parsons Green Sports and Social Club Limited.
The Rules, Regulations and Bye-Laws appearing below shall be read in conjunction with the Memorandum and Articles of Association of The Parsons Green Sports and Social Club Limited; and in the event of conflict between these Rules, Regulations and Bye-Laws and the Memorandum and Articles of Association, the provisions of the latter shall prevail. They incorporate all amendments made up to and including the Extraordinary General Meeting held on 1st August 2005.
RULES
Definitions
1 In these Rules unless the context otherwise requires:
1.1 “The Articles” means the Articles of Association of the Parsons Green Sports and Social Club Limited (hereinafter called "the Club");
1.2 “The Memorandum” means the Memorandum of Association of the Parsons Green Sports and Social Club Limited.
1.3 Expressions defined in the Articles bear the like meanings;
1.4 “Member” means a person (whether or not also a statutory member) holding membership (of any degree) of the Club in accordance with these Rules and “voting members” and “non-voting members” bear the meanings attributed in paragraphs 3-5 inclusive.
1.5 “The Chairman”, “Director” and “The Secretary” mean respectively those officers of the Club holding office pursuant to the Articles and these Rules.
Classes and Qualifications of Members
2 Membership of the Club shall be of two classes namely:
2.1 Voting members as defined in clause 3 below
2.2 Non-voting members as defined in clause 4 below
3 Voting members are also statutory members, and the class of voting members shall be sub-divided into the following categories namely:

4 Non-Voting Members are not statutory members and the class of non-voting members shall be sub-divided into the following categories, namely:
4.1 Junior Members
4.2 Country Members
4.3 Off Peak Members
4.4 Student Members
4.5 Corporate Members
4.6 Family Members
Names and Objects of the Club
5 The Club shall be called "The Parsons Green Sports and Social Club" ("the Club") and its objects shall be of a non-political character, and shall be to provide for the members of the Club privileges, advantages, conveniences and accommodation of a sporting and social club, and to promote and provide for such members, opportunities of playing tennis, croquet, bowls and squash games and pastimes, both outdoor and indoor.
Election of Members of the Club
6 The election of members of the Club shall be vested in the Directors for the time being of the Club, and such Directors shall constitute and be the Board of the Club.
Qualification
7 With the exception mentioned below in Rule 24.3, candidates for election shall have attained the age of 18 years.
Entrance Fee
8 An entrance fee, of such sum as the Board may from time to time determine, shall be paid by the candidate on nomination, to be returned in the event of his/her not being elected.
Nomination
9 Every person wishing to become a member must complete a proposal form and by signing it pledge, in the event of being elected to membership, to abide by the rules, regulations and bye-laws then or thereafter in force. A proposer (having at least twelve months standing as a member) is required, but, in the event of a candidate being unable to meet these conditions, a banker’s reference must be supplied; all candidates will be interviewed by the Board or by a committee or someone else authorised in this regard.
Names of Candidates to be posted on the Club Notice Board
10 The name or names of candidates proposed for election shall be posted on the Club Notice Board for fourteen clear days.
Duty of Members to report undesirable Candidates in writing
11 If a member or members shall be of the opinion that any proposed candidate is not a desirable person to be admitted to membership of the Club, the fact must be reported in writing to the Chairman, who shall place such reports before the Board at its next Meeting, and such reports shall be treated as confidential.
Payment of first subscription
12 No member shall be entitled to use the Club House or otherwise participate in the privileges and benefits of the Club until all monies due on election, as advised by the Secretary in writing, have been paid. These shall include the fee for a door entry card, which shall also serve as a Membership Card and must be produced when visiting the Club. At the discretion of the Board candidates nominated for membership may be allowed limited usage of the Club facilities pending formal election to membership. (See Rule 17 for renewal fees.)
Disqualification of Candidates
13 No rejected candidate shall again be proposed as a member until the expiration of six calendar months from the date of such rejection, and no candidate who shall have been twice so rejected shall be eligible to be again proposed for membership.
Re-nomination of former Members who have been expelled
14 No person who shall have been expelled from the Club shall ever again be proposed as a candidate, or be brought into the Club premises until the Board shall have passed a resolution authorising his/her being so proposed or brought into the Club premises.
Election
15 Election of candidates shall be by a method approved by the Board or one or more Directors who shall be authorised in this regard by the Board, and no candidate shall be elected if three or more Directors shall vote against his election. Alternatively election of candidates shall be by someone else authorised in this regard by the Board.
Subscriptions
16 All subscriptions to the Club shall be of such sums as the Board in its discretion determine and shall be payable, in advance, on the first day of April annually. All categories of fees are independent and the payment of one does not bestow any rights or privileges in respect of another that may be due.
Penalty for Non-Payment of Subscriptions
17 Non-payment of a subscription or any other money due to the Club within fourteen days after it has become due shall be considered in arrears (as defined by rule 18 below) and at the end of one month membership of the Club will be cancelled automatically in accordance with Article 2(3) of the Articles of Association.
Members in Arrears
18 No member in arrears of payment of subscriptions or other monies due to the Club shall be permitted to make use of the Club, take part in its affairs or participate in any sports in relation to the Club.
Absentee Members
19 The Board shall have the power to remit the subscription on such terms as they think fit to any member unable through absence from London, or continuous illness, to make use of the Club during a substantial period of time.
(Not to be confused with Rule 25 regarding Country Membership.)
Suspended Members
20 A suspended member shall remain liable to pay subscriptions due.
Members to have no rights in Club Property
21 No member of the Club shall have as such any right or interest in the assets of the Club.
Resignation of Members
22 Any member wishing to resign must send a written notice to the Secretary, together with the subscription or any other monies due up to the date of the receipt by the Secretary of such notice, and no resignation shall be effective unless this rule is complied with. Resignation shall not affect an ex-member's liability to make a contribution to the Club's assets of up to £1 in the event that the Club is wound up within one year of his resignation, in accordance with clause 5 of the Memorandum of Association of the Club.
Change of Address
23 Changes of address of members shall be notified, in writing to the Secretary within fourteen days of such change. Until such notice is given, all communications and notices sent to the last known address of a member shall be deemed to have been duly served.
Honorary, Life, Junior and Juvenile Members
24.1 The Board shall recommend for election as honorary members, without entrance fee or subscription, (a) persons of distinction, (b) individuals who have rendered valuable service to the Club and (c) Directors or former Directors who have completed 12 years service on the Board. Recommendations shall be subject to confirmation, by ordinary resolution in General Meeting of the Club, and the names of those so elected shall be recorded on the Club Honours Board.
24.2 Additionally the Board shall extend Life Membership (free of subscription) to any member who has completed, in total, 40 years membership, again subject to confirmation in General Meeting
24.3 The Board may also admit to Membership of the Club boys and girls under the age of 18 years at an annual subscription determined by them from time to time.
Country, Student, Corporate and Family Membership
25.1 The Board shall admit persons whose normal place of residence is outside Greater London as Country Members of the Club provided such persons have had at least 10 years continuous membership of the Club as a voting member prior to election as a Country member and the annual subscription of such members shall be reduced at the discretion of the Directors.
25.2 The Board shall admit persons who are in full-time study and under the age of 30 upon receiving proof of the fact that they are students, at an annual subscription to be determined by the Board for a maximum of two years subject to the discretion of the Board.
25.3 The Board shall admit as Corporate members employees of a partnership or corporate body (“company”) where 5 or more named individuals from one company wish to join at an annual subscription to be determined by the Board.
25.4The Board shall admit as Family members where 3 or more named individuals who are related and who live together in a single household wish to join at an annual subscription to be determined by the Board.
Proportion of Honorary and Country Members
26No person shall be elected as an Honorary or Country Member if such admittance is likely to result in the number of such members being significant in proportion to the total membership of the Club.
Members of Other Clubs (“Associate Members”)
27Members of other Clubs attending at the Club premises or grounds for the purpose of playing competitions or matches and the guests of such persons may be admitted to the Ground and Club premises and intoxicating liquors may be sold to such persons by or on behalf of the Club for consumption on the premises as it may to Members and their guests.
Penalties for Misconduct on Club Premises
28No drunkenness, bad language, unseemly or disorderly conduct shall be permitted. Additionally, the introduction and/or use of any illegal substance (as defined by law) will not be tolerated. Any infringement of this rule will render the persons concerned liable to immediate expulsion from the Club premises and in the case of members suspension of privileges may result. It shall be the duty of every officer and member of the Club to take every means for preventing such misconduct, but if it should occur it must be reported to the directors as soon as possible.
Power of the Board to Reprimand, Suspend or Expel Members or Guests
29The Board shall have absolute power to reprimand, suspend or expel any person who shall infringe any rule, regulation or bye-law of the Club, or whose conduct in or out of the Club shall in their opinion be prejudicial to the character or interest of the Club. Any member receiving seven clear days' notice, in writing and signed by the Chairman which contains a statement of the complaint(s) arising shall attend before the Board as directed. The decision of the Board shall be final, but a majority of at least two-thirds of the Directors present shall be required to effect suspension, expulsion or to authorise a reprimand.
Meetings of Members
30One General Meeting of the members of the Club will be held per annum, in accordance with the Articles.
Disputes between Members
31Any dispute between members of the Club on any Club matter, regardless of the underlying reason, which is referred or brought to the attention of the Board shall be investigated by the Board and its decision in the matter shall be final.
Excisable Articles
32No payment for excisable articles shall be received from any person who is (a) not a member of the Club, or (b) not a member or guest of another Club admitted under Rule 25, or (c) a visitor who has not been properly signed-in by a member of the Club in the official Visitors Book provided for such purpose (see Rule 35), or (d) admitted under the rules for the use of the Bob Tanner Suite (see Rule 45). Any person making such payment shall immediately be removed from the Club premises and the member introducing such person shall be liable, at the discretion of the Board, to be expelled from the Club.
Breaches of Rules to be reported
33The members of the Club who have knowledge of or who suspect a person or persons to be guilty of any breach or attempted breach of Rules 32 or 39 are required to make an immediate verbal report to an officer or servant of the Club of every breach or attempted breach of these Rules, and to give notice in writing to the Chairman thereof.
Copy of Rules as to Excisable Articles to be displayed
34A copy of the rules as to excisable articles shall be prominently and permanently displayed in every part of the Club in which excisable articles are supplied.
Visitors
35Apart from the rules governing the use of the Bob Tanner Suite (see Rule 45), every member shall be permitted to introduce a visitor, but such visitor shall not be admitted to the Club House for social activities more than twice within a period of one calendar month or for the purpose of using the sports facilities more than twice per annum, unless the consent of the Board be first obtained. The names of each visitor and the members by whom they are introduced and the date of the visit shall be written in the Club Visitors' Book kept for that purpose, and such entry shall be made immediately on the visitor entering the Club. The introduction of visitors to the Club House shall not entitle such visitors to participate in any sport at the Club until the proper fee has been paid.
Use of the Club
36No person who has been expelled, or who, having been a candidate for election, has been rejected from membership of the Club, or is indebted to it, shall be allowed to make use of the Club or enter its premises, either as a visitor or under any pretext whatever.
Hours of Opening and Closing of the Club House
37The Club shall be open for Games and Social Activities Monday to Saturday from 10.00am to 11.30pm and on Sundays from 10.00am to 11.00pm. The Board shall have the power to shorten or extend these periods on special occasions, provided that notice thereof is exhibited on the Club Notice Board specifying the reason for the alteration.
Hours of Opening and Closing of the Club Bar
38Intoxicating liquor shall be supplied on the Club premises to members and on their order to guests and members of other clubs (“Associate members”) in accordance with Rule 27 during such hours as are fixed by the Board under the bye-laws of the Club and such licence or registration certificate as shall for the time being be in force, in accordance with the terms of the Licensing Act 1964, as amended and any subsequent legislation. The hours so fixed shall be posted up in the bar at all times.
Introduction of Beverages to the Club
39No member or visitor to the Club shall at any time bring any beverage whether intoxicant or not into the Club House or Club Grounds for consumption therein. Any infringement of this Rule will render the offending member or visitor liable to expulsion from the Club or suspension of privileges as a member, as the Board shall decide. Any member who sees this Rule being broken shall immediately report the fact to the Chairman or any Director.
Power and Authority of the Board
40The Board shall conduct the general business of the Club and regulate the internal management. It may delegate its powers to sub-committees of its Directors and/or of members specifically authorised for particular types of business. No meeting of the Board, or (without the previous sanction of the Board) any other committee, shall take place outside the Club grounds. All other committees shall be subject to the Board's control and supervision.
Rights of Chairman of Board of Directors
41The Chairman of the Board of Directors of the Club shall, when present, be entitled to preside at all Meetings of the Club, and shall in addition to his vote as a member of the Club have, whilst presiding, a second or casting vote.
Directors as ex-officio members of all committees
42The Directors shall be entitled to be present at all Meetings of the various committees or sub-committees, and shall be entitled to address the Meetings, but not by virtue of their being Directors be entitled to vote unless they were already members of such committee.
The Company Secretary
43The Company Secretary (“the Secretary”) shall, in the execution of his duties, act under the superintendence of the Board. The Company Secretary shall maintain the Members Register and keep the accounts, documents and papers of the Club in such manner and for such purposes as required by the Companies Act. In the absence of all Directors the Secretary shall have absolute control over the Club House and its property, and in the absence of all members of the Ground Committee, he shall have absolute control of the remaining property and grounds of the Club.
Ground Committee
44The management of the ground, including the fixtures and fittings thereon, and the groundsman's store buildings shall be vested in a Ground Committee, subject in all things to the overriding powers of the Board. The Ground Committee shall have a Director as Chairman and thereafter consist of a maximum of two members drawn from each of the official sports sections. These members shall be elected at the Annual General Meetings of the sections and shall be subject to ratification by the Board. The functions of this committee shall be determined periodically by the Directors of the Club. The Ground Committee shall have power to fill any casual vacancy occurring in between Annual General Meetings of the sections. Four members of this committee shall form a quorum, but of necessity business may be informally discussed and passed to the Board on a suggestion basis.
Rules for the use of the Bob Tanner Suite (“the suite”)
45Use of the suite by members is dependent upon availability and the following additional rules apply to its use:
1.The Board shall determine from time to time the fee for use of the suite and such fee shall cover non-members' entrance fees and extra cleaning expenses.
2.The Member booking the suite will be held responsible for their guests and any visitors brought by their guests, including children and should be present at all times while they are on Club premises. A list of non-members' names is to be made available, wherever possible, by the Member booking the suite and handed in to the Board before the event.
3.For safety, comfort and ease, the number of members and guests using the suite at any time should not exceed 100.
4.Any member or guest using or suspected of using any illegal substance will be asked to leave the premises immediately.
5.Guests must comply with Club rules.
6.Good order must be maintained and all members and guests, including children, must be reasonably behaved at all times.
7.Consideration for neighbours must be given when leaving the Club.
8.Any member booking the suite must sign a copy of these rules as acceptance of them.
Application of Rules, etc
46Reference to members in these Rules, Regulations and Bye-Laws shall, unless otherwise provided, be deemed to include reference to members in all the different classes of membership, both voting and non-voting.
OUTDOOR GAMES REGULATIONS
Control of Grounds and Standards of Dress
47The control of the Club Grounds shall be entirely with the Board. Members and their visitors must abide by such regulations as to standards of dress whilst on the Club Premises and whilst using the Sports Facilities as may be determined by the Board from time to time. Any such regulation shall be notified to members by means of a notice on the Club Notice Board and all members shall be deemed to have notice of them if so displayed.
Opening and Closing of Club Grounds
48The period in each year during which the Club Grounds shall be opened for games shall be decided by the Board. During such period, the grounds (and Squash Courts) shall be open to members every weekday at 10.00am for Hard Court Tennis and croquet (in the case of croquet at least one full size lawn from May to September inclusive) and at 2.00pm for Bowls during the summer season. On Sundays and Bank Holidays all surfaces will be open at 10.00am subject to fitness in the case of grass. The Board shall have power from time to time, and at all times, to alter, vary, extend, or shorten the hours during which the ground shall be open.
Sectional Committees
49The management of each sports, games and social section shall be vested in a Committee to be elected by the members of such section from amongst their members. Captains and Honorary Secretaries of each section shall be ex-officio members of the Committee of such section. Each Committee is empowered to frame the bye-laws of such section, subject to the approval of such bye-laws by the Board. Such bye-laws shall constitute part of these bye-laws and be binding on the members of the Club in accordance with Article 58 of the Articles of Association.
Sports Subscriptions
50For the list of subscriptions, reference should be made to the Club Notice Board.
BYE-LAWS
Hours of Opening and Closing of Club House
51Notice of the hours during which the Club is open shall be kept posted on the Club Notice Board.
Use of the Club Premises for Special Purposes
52If any part of the Club premises be set apart for any purpose, no admittance thereto shall be allowed without payment of the appropriate entrance fee when such charge is made.
Refreshments
53Bar snacks shall be supplied in accordance with the terms of the Steward's Contract or as otherwise approved by the Board.
Members’ Payments
54 All members are required to pay every expense they incur in the Club premises or grounds.
Games
55No games that are not games of skill shall be played in the Club.
Complaints
56All complaints or suggestions shall be made in writing and signed by the member making them before handing them to the Secretary or a Director.
Complaints as to Club servants
57The conduct of a servant shall in no instance be made the matter of personal reprimand by any member, but all complaints against servants or the domestic arrangements of the Club shall be addressed in writing to the Board through the Secretary.
Bills, Notices, etc
58No bill, notice, placard or newspaper shall be posted or distributed in or about the Club premises without the permission of the Secretary or a Director.
Gratuities to Club Servants
59No member shall, without the previous sanction of the Board, give any money or gratuity to the servants of the Club, upon any pretext whatever; but this rule shall not preclude the Board from collecting subscriptions, money and gratuities from members for the servants or any member of staff.
Damage to Property
60Any person damaging the turf, buildings, furniture or other property of the Club shall, if called upon by the Board, pay the expense of making good the damage to the satisfaction of that Committee.
Injuring or Destroying Club Property
61No member shall on any pretence take away, injure or destroy any newspaper, book, or other article that is the property of the Club.
Dogs and Animals
62No dogs or animals shall be allowed upon the Club premises or grounds except for guide or hearing dogs and animals belonging to a resident employee..
Exhibition of Rules, etc, in Club House
63A copy of these Rules, Regulations and Bye-Laws shall be at all times exhibited in a prominent position in the Club House.
Club Competitions
64No person who is not a member of the Club shall be permitted to take part in any Competition, League or Tournament run by the Club without prior permission of the Board.
Children
65Children, other than Junior members shall not except at the discretion of the Board be admitted to the Club premises.
Visitors
66Visitors enter the Club premises and/or Club grounds at their own risk and the Club shall not be responsible for their safety.
Colours
67The Club Colours shall be Blue, Green, Cerise, White and Gold.
